These Terms of Service (“Terms”) govern your access and use of the Festilinx platform (“Service”), which is owned and operated by Omnifest Events Managing, a company incorporated in Dubai, United Arab Emirates (“Omnifest”, “we”, “us”, or “our”).

By using the Service, you agree to these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not agree, do not access or use the Service.

1. SCOPE OF SERVICE

Festilinx is a modular Event Management System (EMS) accessible via the web. The Service enables customers to plan, manage, and execute events through licensed software modules.

Use of the Service is subject to a valid Subscription Agreement. No use is authorized outside the scope granted under your current license.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. 

While the Company strives to continuously improve the Service, it does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service are free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

2. ACCOUNT ACCESS

Only authorized users provisioned by the Customer may access Festilinx. Each user must use secure credentials and is responsible for all activity under their account.

Festilinx currently does not support Single Sign-On (SSO). Users are advised to update passwords regularly and notify Omnifest of any suspected security breach at security@omnifest.com.

3. PAYMENT TERMS

Fees, billing terms, and subscription scope are governed by the Festilinx Subscription Agreement. All invoices are due as specified in the applicable Quote.

Omnifest may suspend or restrict access to the Service if payment is overdue by more than 30 days.

4. THIRD-PARTY SERVICES

Festilinx supports integration with third-party platforms via Open API, including but not limited to ticketing tools, CRMs, ERP systems, and identity providers.

We do not warrant or support third-party services. Use of any third-party platform is governed by its own terms. Omnifest is not liable for damages caused by third-party integrations.

5. CONTENT AND DATA

You retain all rights to data uploaded through the Service. By using Festilinx, you grant Omnifest a limited, non-exclusive, and non-transferable license to process, host, store, and analyze your data as necessary to provide the Service.

You are solely responsible for any Content, including in particular any images, photos, videos, sounds, data, texts, ideas, opinions, recommendations, as well as literary, artistic, musical, graphic or other content that you or your authorised users upload to the Service, including its legality, correctness, reliability, and appropriateness.

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You are obliged to ensure that: (i) you are the legal owner of the Content, or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

The Company may not review your Content and is not responsible for it in any manner. In the event that the Company is found liable in any manner in connection with your Content, you agree to fully indemnify the Company for any damage and costs it may incur, as set out in these Terms.

Omnifest may collect and use aggregated, anonymized data for analytics and service improvement purposes.

6. INTELLECTUAL PROPERTY

All intellectual property rights in Festilinx, including its software, modules, UI/UX, branding, and documentation, remain the exclusive property of Omnifest.

You may not reverse-engineer, copy, sublicense, or modify any part of the Service.

Feedback submitted to Omnifest regarding the Service may be used without restriction or compensation.

7. SECURITY & DATA PROTECTION

Omnifest follows industry-standard practices to protect customer data, including: - SSL encryption in transit - AES-256 encryption at rest - 24h RPO / 24h RTO backup and disaster recovery - Daily, weekly, and monthly backup rotation - Geographically redundant backup storage (3+ locations)

8. CONFIDENTIALITY

Both parties agree to keep all non-public business, technical, or financial information confidential. Each party may disclose such information to employees or contractors strictly on a need-to-know basis.

9. ACCEPTABLE USE

Users shall not: - Use the Service for unlawful, malicious, or abusive purposes - Upload content they do not own or are not authorized to use - Attempt to gain unauthorized access to any part of the platform

Violation of this clause may result in suspension or termination.

10. MODIFICATIONS TO THE SERVICE

Omnifest may update the Service or these Terms periodically. Material changes will be communicated 30 days in advance via email or platform notification.

Continued use after changes constitutes acceptance. Customers may terminate use if they disagree with modifications.

11. TERMINATION

Omnifest reserves the right to suspend or terminate user access if: - These Terms or the Subscription Agreement are breached - A user engages in malicious behavior - Payment is not received within the grace period

Upon termination, data export rights are defined in the Subscription Agreement.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law: - Omnifest’s liability is capped at 30% of total fees paid in the past 12 months - Omnifest is not liable for indirect, incidental, or consequential damages

Omnifest disclaims all warranties, express or implied, including fitness for purpose.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of the United Arab Emirates. Disputes shall be resolved in the courts of Dubai.

As an alternative, either party may elect to resolve disputes via binding arbitration under the Dubai International Arbitration Centre (DIAC).
